Unified yet Flexible Contract Design

The contract modularization within the Catena-X Data Space provides a standardized, digital, and legally soundfoundation for concluding data exchange agreements. Its goal is to make contractual arrangements across the ecosystem clearer, more consistent, and better aligned both technically and legally.

The modular contract components can be easily integrated into existing processes and systems, without limiting individual contractual freedom.

Voluntary Use and Contractual Freedom

The use of the modular contract components is entirely voluntary.
Each organization decides freely whether and to what extent it wishes to apply the provided modules.

The principle of contractual freedom remains fully intact:
Every Data Provider determines independently with whom, under which conditions, and for what purposes data will be shared.

Standardization for Efficiency and Scalability

By providing standardized contractual modules, Catena-X significantly reduces the effort required to establish bilateral data exchange relationships.

Instead of negotiating terms from scratch, organizations can rely on predefined clauses and usage purposes (based on the ODRL standard), while retaining the flexibility to adapt them as needed.

This standardized approach ensures legal certainty, technical interoperability, and automated scalability across the data space.

Integration with Existing Agreements

The Catena-X framework is designed to seamlessly integrate with existing contractual relationships, such as framework or supply agreements.

Participants can reference existing contracts through Contract References, or make use of the standardized clauses where no specific provisions for data exchange exist.

Legal Notice

The modular contract components were developed in collaboration with the Legal Expert Group of Catena-X Automotive Network e.V.

They serve as guidance and orientation only and do not replace individual legal advice.

Each party remains responsible for assessing whether the selected clauses are appropriate, adequate, and legally enforceable in their specific context.
